# Holm Usage License Agreement 1.0 (HULA)

- **License ID:** `holm-usage-license-v1`
- **Immutable URL:** `https://license.holmhq.com/v1/`

## 1. Agreement and authority

This License applies only to a Covered Binary that identifies this License ID
and the immutable hash of this License text.

You accept this License by completing the acknowledgement presented by a
Covered Binary or by using a Covered Binary after having a reasonable
opportunity to review this License. If You act for an organization, You
represent that You have authority to accept this License for that organization.
If You do not agree, do not use the Covered Binary.

An ordinary Holm update that identifies the same License ID and text hash does
not require another acknowledgement. Before using an update that identifies a
new License ID or a different legal-text hash, You must separately accept that
new license. An earlier Covered Binary remains governed by the license version
that it identifies.

## 2. Definitions

**Application** means a product or service built with or operated on Holm whose
primary value is not access to Holm itself.

**Covered Binary** means an official, unmodified object-code build of Holm that
was authorized through Holm's signed official release channel and expressly
identifies this License ID and legal-text hash. Source code is not a Covered
Binary.

**License ID** means the stable identifier of a license version. The License
ID and legal-text hash together identify its exact operative text; any change
to that text requires a new legal-text hash and a new acknowledgement.

**Licensor** means the owner of copyright in the Covered Binary who authorized
its publication through Holm's signed official release channel, or its
successor under Section 12.

**Managed Holm Service** means a product or service offered to the public or to
customers generally, including in preview, in beta, or by invitation, whose
primary purpose is to give customers Holm itself, hosted,
managed, or provisioned for them, rather than access to an Application. It
includes pre-configured Holm instances, Holm instances connected to external
services, and bundles of pre-installed Applications offered that way, whether
they run in Your environment or the customer's. Client work under Section 5 is
not a Managed Holm Service.

**You** means the individual accepting this License or the organization for
which that individual accepts it.

## 3. License grant

Subject to this License, the Licensor grants You a worldwide, non-exclusive,
non-transferable, non-sublicensable, royalty-free license to:

1. install and execute Covered Binaries;
2. make reasonable internal, backup, and disaster-recovery copies;
3. use Covered Binaries for personal, internal, and commercial work;
4. develop, test, operate, host, and support Applications; and
5. copy and redistribute exact, unmodified copies of a Covered Binary or its
official release archive, including inside machine images, container
images, and software packages, as long as every copyright, attribution, and
license notice stays intact and You do not charge for the Covered Binary
   itself.

No fee, registration, license key, or separate grant is required. This License
does not limit instances, users, seats, Applications, projects, environments,
or internal copies, and does not depend on the size or revenue of You or Your
organization. Employees and contractors may act on Your behalf within this
License. You remain responsible for their compliance with it.

## 4. One-time acknowledgement; no technical entitlement

A Covered Binary may request one explicit acknowledgement of this License,
identified by its License ID and legal-text hash, before first substantive use. It may store the License ID, legal-text hash,
Holm version, acknowledgement time, and acknowledgement method locally in the
Holm instance.

The acknowledgement is notice and assent, not an entitlement mechanism. The
Covered Binary does not use revenue checks, license keys, paid feature
restrictions, runtime expiry, usage reporting, or a phone-home licensing check
to determine its capabilities. The acknowledgement record is not transmitted
unless You choose to provide it.

## 5. Applications, client work, and managed Holm

You may build, operate, host, and sell Applications that use Holm. Applications
are Yours: this License claims no rights in them, their code, or their data,
and does not limit how You license, sell, or distribute them.

People who use an Application need no Holm license. Their relationship is with
whoever operates the Application, not with the Licensor.

You may build Applications for clients and, as professional services, install,
configure, host, operate, upgrade, monitor, back up, and administer Holm
instances for them, charging whatever You choose for Your work. Each client is
the licensee of its Holm instances and must accept this License for them; You
may accept it for a client only with that client's authority. When You deliver
Holm to a client, You must tell the client that Holm is licensed separately by
the Licensor and that this License is between the client and the Licensor.

Publishing documentation, guides, examples, or scripts, templates, and images
that install Holm without the pre-configuration described in Section 2 is not a
Managed Holm Service.

This License does not permit You to offer a Managed Holm Service, whether under
the Holm name or another name. That right remains reserved to the Licensor.
Applications and client work must not be a means of supplying a Managed Holm
Service.

## 6. Restrictions

Except where applicable law does not allow the restriction, You may not:

1. sell, sublicense, or lease a Covered Binary, or distribute it except as
   Section 3 allows;
2. modify, translate, reverse engineer, decompile, disassemble, or create
   derivative works from a Covered Binary;
3. remove or obscure copyright, trademark, attribution, or license notices;
4. use a Covered Binary to offer a Managed Holm Service;
5. present Holm, or a product whose primary value is Holm itself, as Your own
work or under another name, or claim to have created Holm; or
6. use a Covered Binary in violation of applicable law.

## 7. Ownership, patents, and third-party components

The Licensor and its licensors retain all rights not expressly granted. This
License grants object-code rights only. It grants no source-code or trademark
rights and makes no promise that a Covered Binary will later become open source.
You may say truthfully that Your Applications or services use, support, or are
built on Holm. You may not use the Holm name or logo in a way that suggests You
are the Licensor, an official Holm source, or endorsed by the Licensor,
including in the name of a product, company, or domain.

To the extent the Licensor can grant them, the Licensor grants You a patent
license for claims necessarily infringed solely by permitted use of a Covered
Binary. Components identified as third-party software remain governed by their
own notices and license terms.

If You give the Licensor suggestions or feedback about Holm, the Licensor may
use them freely without obligation to You.

## 8. License versions and release coupling

The License ID and legal-text hash embedded in a Covered Binary govern that
binary permanently. The Licensor may publish a different license for later
builds, but later terms do not retroactively change the license for an earlier
build. You are never required to upgrade. The Licensor need not keep any build
available for download.

Every official Holm build released before Holm 1.0 (any version below 1.0.0) is
licensed royalty-free to everyone: its license requires no fee or payment and
sets no limit based on the size or revenue of the licensee. This commitment
does not extend to Holm 1.0 or later builds.

The current license is presented at `https://license.holmhq.com/`. Each
effective license version is also published at an immutable versioned address,
identifies its first covered Holm build and effective date, and is recorded in
the signed release manifest. After this text's effective date, any change to it
will be published as a new license version with its own License ID and versioned
address. Presentation and accessibility styling may change without changing the
canonical legal text or its hash.

## 9. Support

This License does not promise support, maintenance, updates, service levels, or
a particular release schedule.

## 10. Term and termination

This License continues for as long as You comply with it. If You materially
breach this License, the Licensor may end Your rights by notice. If the breach
can be corrected, Your rights end only if You do not correct it within 60 days
after receiving that notice.

When Your rights end, You must stop using Covered Binaries and delete Your
copies, except for one archival copy kept only for legal or compliance records.
Sections 6, 7, 11, and 12 survive termination.

## 11. Pre-1.0 software, no warranty, and limited liability

Holm is pre-1.0 software and is not expected to work flawlessly. Covered
Binaries may fail, lose, or corrupt data. You are solely responsible for Your
data, backups, testing, security, and use. The Licensor has no obligation to
support, maintain, fix, restore, or recover anything.

To the maximum extent allowed by law, Covered Binaries are provided "as is" and
"as available," without warranties or conditions of any kind, whether express,
implied, or statutory, including merchantability, fitness for a particular
purpose, title, and non-infringement. You are responsible for testing, security,
backups, and safe operation.

To the maximum extent allowed by law, the Licensor has no liability arising from
this License or any Covered Binary, including for indirect, incidental,
special, consequential, exemplary, or punitive damages, or for lost profit,
revenue, data, goodwill, or business interruption. If any part of that exclusion
is held unenforceable, the Licensor's total liability arising from this License
and all Covered Binaries will not exceed USD 100. Nothing excludes liability
that applicable law does not allow to be excluded or limited.

## 12. General

If part of this License is unenforceable, the remaining parts remain in effect.
A failure to enforce a term is not a waiver. This License is the complete
agreement about the Covered Binary and replaces prior discussions about it.

Statements in documentation, forums, social media, issue trackers, or other
informal channels do not modify this License, waive any of its terms, or grant
rights. Terms may be waived or additional rights granted only by a written
notice the Licensor sends from `license@holmhq.com` or by a notice the Licensor
publishes at `https://license.holmhq.com/`.

The Licensor may transfer its role under this License to a person or entity
authorized to grant the rights in it, by a notice published at
`https://license.holmhq.com/`. Your rights under this License continue
unchanged.

Questions about licensing may be sent to `license@holmhq.com`.
